The process of liquidation and deletion of the company from the commercial register

1. Entry of the company into liquidation and appointment of a liquidator
In the first step, we will prepare for you the documents necessary for the dissolution of the company with liquidation and the appointment of a liquidator of the company. This is decided by the general meeting or the sole shareholder of the company. The company enters into liquidation on the date of registration in the Commercial Register. Before entering liquidation, it will be necessary to deposit in the notary’s custody an advance payment to cover the costs of liquidation in the amount of EUR 1,500, which will be returned from the notary’s custody upon completion of the liquidation.


2. Liquidation process
Extraordinary financial statements will need to be drawn up at the date prior to the date of entry into liquidation. During the liquidation process, creditors will file their claims with the company’s liquidator, followed by the preparation of a list of claims filed in the liquidation, the compilation of a list of the company’s assets, the publication of notices in the Commercial Bulletin and the performance of other duties required by law.


3. Completion of liquidation
On completion of the liquidation, the financial statements, a report on the course of the liquidation and a proposal for the distribution of the liquidation surplus shall be drawn up. The documents shall be approved by the general meeting or the sole shareholder of the company. After approval of these documents, we will arrange for the deletion of the company from the Commercial Register. This will terminate the company, and it will be considered legally non-existent.

Liquidation takes approximately 6 to 9 months.
